Statutes of Jiangsu Provincial Association for International Science and Technology Development
Chapter One General Provisions
Article 1 The full name of the association is Jiangsu Provincial Association for International Science and Technology Development, the acronym of the association is JPAISTD.
Article 2 The association is a non-profit, non-governmental organization, voluntarily formed by the members of undertaking, enterprise and individual, who are engaged in science and technology, teaching and production. It has independent corporate status.
Article 3 The objective of our organization: hold high the great banner of socialism with Chinese characteristics, adhere to Marxism-Leninism, Mao Zedong Thought, Deng Xiaoping Theory and the important thought of "Three Represents" as the guide, thoroughly implement the scientific concept of development to promote the scientific and technological development of Jiangsu Province and the transformation of its scientific and technological results; to promote advanced technologies and facilitate the integration of science and technology with economy; to advance the international non-governmental academic exchanges and cooperation on science and technology; abide by various national laws and regulations, comply with observe social ethics to support the economic and social development, serve scientific and technological workers and struggle for the ¡°fulfillment of two initiatives to build a beautiful and prosperous Jiangsu¡±.
Article 4 The association is a part of Jiangsu Provincial Science and Technology Association. It works under the direction of Jiangsu Provincial Science and Technology Association. And shall be subject to supervision and management by the Department of Civil Affairs of Jiangsu Province.
Article 5 The Office of the association is 1403 Yifa Mansion, No.228 Guangzhou Road, Nanjing, Jiangsu Province.
Chapter Two Scope of Business
Article 6 Scope of business of the association:
1. To receive domestic and foreign visiting groups and individuals in the fields of science and technology, economy, culture, education, art, etc.; To strengthen contact with international scientific organizations and individuals; To promote exchange and cooperation of international science and technology.
2. To send the delegations to go abroad for academic exchange and scientific cooperation.
3. To hold independently or jointly bilateral and international conferences and symposia.
4. To organize scientific and technological personnel to go abroad for further study.
5. To provide technical consulting services, technical transfer, technical development, etc.
6. To confirm the membership; To train the members and scientific and technological personnel.
7. Organize scientific knowledge popularization activities in various forms.
8. To hold the activities that serve the members.
Chapter Three Members
Article 7 Any applicant who is in recognition of the Statutes of JPAISTD and conforms to the stipulations of Article 8 can apply to join the association. The members of the association include society and individual members.
Article 8 Membership
1.Basic requirements for a domestic society to be a member of JPAISTD.
(1).Having independent corporate status.
(2).The undertakings and enterprises in the fields of science and technology, teaching, production, design, etc., and academic social organizations which support the work of the association.
(3).Having good credit.
(4).Having effective force in its own field.
(5).Being in recognition of the Statutes of JPAISTD, executing various rules and regulation, and exercising the member¡¯s duty.
2.Basic requirements for individuals to be a member of JPAISTD.
(1).Having the title of engineer, lecturer and assistant research fellow or above.
(2).The leaders who ardently support the work of the association.
(3).Being famous in the industrial, commercial, and other social circles.
(4).Being willing to join the association and involved in discipline of the association.
(5).Being in recognition of the Statutes of JPAISTD, executing various rules and regulation, and willing to exercise the member¡¯s duty.
Article 9 The society¡¯s member should fill in the registration form of the trustee of JPAISTD. Nominate a leader to be the trustee with the approval of JPAISTD. And then the leaders nominate a coordinator as the member of JPAISTD. The society will be the trustee¡¯s unit. If the leader can be approved as trustee. The trustee¡¯s unit can recommend a middle-level leader as the member of JPAISTD to participate in its work. A newly appointed leader can be recommended as the successor, if the former leader is transferred from the society where he has worked.
Article 10 The procedure of joining JPAISTD.
1. Submitting the application of joining JPAISTD.
2. Being introduced by one trustee or two members.
3. Filling in two registration forms of the trustee or member of
JPAISTD. With the society¡¯s stamp on them, and submitting them to the secretariat of JPAISTD.
4. The individual membership should be confirmed by the
secretary-general¡¯s executive meeting. For the society for the confirmation, and file it to the standing council.
5. Providing the membership card issued by the council.
Article 11 The rights and duties of the member
The rights and duties of the society¡¯s member
1.The rights of the society¡¯s member
(1). Having right vote and to stand for election.
(2). Having the right to criticize and supervise the work of JPAISTD.
(3). Having priority to participate in the activities held by JPAISTD, and to gain the information of JPAISTD.
(4). Having the right to ask JPAISTD to give priority to the technical transfer, technical consultancy, and technical development.
(5). Having right to ask JPAISTD to assist in holding the training courses.
2. The duties of the society¡¯s member
(1). Abiding by the statutes, rules and regulation of JPAISTD.
(2). Paying membership fees regularly according to the stipulation of JPAISTD.
(3). Implementing the resolutions of JPAISTD, fulfilling the task entrusted by JPAISTD. And protecting the JPAISTD¡¯s legal rights and interests.
(4). Taking an active part in the activities held by JPAISTD, and giving the suggestions and proposals to the JPAISTD¡¯s work initiatively.
(5). Protecting the good social credit of JPAISTD consciously, and prohibiting holding the activities in the name of JPAISTD without the approval of JPAISTD.
(6). Introduction the society and individual that conform to the stipulations of Articles 8 to be the member of JPAISTD actively.
The rights and duties of the individual member
1.The rights of the individual member
(1). Having right vote and to stand for election.
(2). Having the right to criticize and supervise the work of JPAISTD.
(3). Having priority to participate in the activities held by JPAISTD, and to gain the information of JPAISTD.
(4). Having the right to ask JPAISTD to give priority to the technical transfer, technical consultancy, and technical development.
(5). Protecting the member¡¯s legal rights and interests.
2. The duties of the society¡¯s member
(1). Abiding by the statutes, rules and regulation of JPAISTD.
(2). Paying membership fees regularly according to the stipulation of JPAISTD.
(3). Implementing the resolutions of JPAISTD, fulfilling the task entrusted by JPAISTD. And protecting the JPAISTD¡¯s legal rights and interests.
(4). Taking an active part in the activities held by JPAISTD, and giving the suggestions and proposals to the JPAISTD¡¯s work initiatively.
(5). Protecting the good social credit of JPAISTD consciously, and prohibiting holding the activities in the name of JPAISTD without the approval of JPAISTD.
(6). Introduction the society and individual that conform to the stipulations of Articles 8 to be the member of JPAISTD actively.
Article 12 In case a member applies to withdraw from JPAISTD, he should inform JPAISTD in written form and return the membership card. The member who doesn¡¯t pay membership fees or take part in the activity held by JPAISTD within a year should be regarded as the voluntary withdrawal of JPAISTD.
Article 13 In case of any member seriously breaching the Statutes, rules and regulation of JPAISTD, he shall be given a disciplinary warning or an order to accomplish rectification, Passed with the vote of the Council or the Standing Council.
Chapter Four Organization & election and recall of the leader
Article 14 The highest organ of JPAISTD¡¯s power is the member¡¯s congress are:
1. Formulating the policies and tasks of JPAISTD.
2. Examining and approving the work reports of the council.
3. Auditing revenue and expenditure of JPAISTD.
4. Formulating and revising the Statutes of JPAISTD.
5. Electing the council.
6. Making decisions on other major issues.
Article 15 The member¡¯s congress shall be convened only when over two thirds of the members are present. The resolutions approved by over half the present members shall be valid.
Article 16 Every functioning term of the member¡¯s congress is 5 years. In case a functioning term has to be changed before the due date or deferred in special circumstances, it should be made decision by the council of JPAISTD. The decision shall be reported to Jiangsu Provincial Science and Technology Association for examination and approved by the Department of Civil Affairs of Jiangsu Province. However, the deferred term can¡¯t exceed one year.
Article 17 JPAISTD established the council as the executive organ of the member¡¯s congress. On behalf of all member¡¯s will, the council assists and supervises the operation of JPAISTD. The council is elected by members¡¯ congress.
Article 18 The functions of the council:
1. Implementing the resolutions of the member¡¯s congress.
2. Electing the standing council, electing and recalling the
chairman, vice-chairman, and secretary-general.
3. Making preparations for convening the next members¡¯ congress.
4. Formulating and improving the financial management system,
and supervising its operation.
5. Determining to establish the administrative, branch, delegate¡¯s
and entity¡¯s bodies.
6. Leading the bodies at various levels to exercise their functions.
7. Formulating and revising internal management system.
8. Making decisions on other major affairs.
Article 19 The council shall be convened only when over two thirds of the trustees are present. The resolutions adopted by over half of the present trustees shall be valid. Every functioning term of the council is 5 years. The council meeting shall be convened once every year. In special circumstances, it may be convened through communication. In addition, the council employs several consultants in accordance with its business¡¯ demand.
Article 20 The standing council that is the executive organ of the members¡¯ congress shall be elected by the council. It will execute the function of the council when the council is not in session. The standing council shall be convened once in a half year. It shall be convened only when over half of the standing trustees are present. The resolutions voted and adopted by over two thirds of the present standing trustees shall be valid.
Article 21 The chairman executive meeting will make decision on and conduct the relevant affairs concerning JPAISTD when the council meeting and the standing council meeting are not in session. The chairman executive meeting will be attended by the standing vice chairman, vice chairman and secretary-general.
Article 22 Basic requirements to be the chairman, vice chairman and secretary-general of JPAISTD.
1. Having effective force in the specialized fields of JPAISTD.
2. The age limit of the chairman and vice chairman shall not exceed
70 years old.
3. Having a good health and being able to continue normal work.
Article 23 Every functioning term of the chairman, vice chairman and secretary-general is 5 years. In special circumstances, they can continue his term of office only when they are voted and adopted by over two thirds of the members and reported to Jiangsu Provincial Science and Technology Association for the examination with the approval of the Department of Civil Affairs of Jiangsu Province.
Article 24 In case the age of the chairman, vice chairman and secretary-general exceed the age limit for office. They can be in office only when they must be discussed and adopted by the council and reported to Jiangsu Provincial Science and Technology Association for the examination with the approval of the Department of Civil Affairs of Jiangsu Province.
Article 25 The chairman is the legal representative of JPAISTD. He should not hold a concurrent post of the legal representative of other social organizations, In special circumstances, the legal representative of JPAISTD can be held the post by the secretary-general, which must reported to Jiangsu Provincial Science and Technology Association for the examination with the approval of the Department of Civil Affairs of Jiangsu Province.
Article 26 The functions of the chairman
1.Convening and presiding over the members¡¯ congress, the council,
the standing council and the chairman executive meeting.
2.Examing the implementation of resolutions of the members¡¯ congress and the council.
3.Signing the important document on behalf of JPAISTD.
4. Conducting other major affairs of JPAISTD.
Article 27 The functions of the secretary-general
1. Presiding over the routine matters of administrative bodies and
organizing the enforcement of the annual working plan.
2.Coordinating the work among the administrative, branch and
entity¡¯s bodies.
3. Nominating candidates for vice secretary-general and the leaders
of administrative bodies, branches and agencies, and submitting their names to the council for decision.
5. Determining the employment of the full-time personnel of the
administrative, delegates¡¯ and entity¡¯s bodies.
6. Conducting other routine matters.
Chapter Five Funds and Assets Management
Article 28 Sources of funds
1. Government subsidies.
2. Undertaking & enterprises, societies and individuals and
donations.
3. Membership fees.
4. Incomes realized by holding the activity or offering the service in
The scope of stipulated business.
5. Incomes realized by providing consultancy service, technical
development and technical transfer, etc;
6. Other legal revenues.
Article 29 The revenues realized by the social service stipulated by the Statutes will be used for the activities of JPAISTD, except for the reasonable payment for the scientific and technological personnel in accordance with the State¡¯s relevant regulations.
Article 30 JPAISTD shall establish a strict financial management system and guarantee the validity, authenticity, accuracy and integrity of the accounting materials.
Article 31 JPAISTD shall employ the accountants with professional qualification. The accountants can¡¯t hold concurrent post of cashiers. They must conduct the accounting and exercise the accounting control. When an accountant is transferred from his post or leaves office, he must handle handing-over procedure with his successor.
Article 32 The funds and assents management shall comply with financial management system stipulated by the State and be supervised and audited by the members¡¯ congress and the department of finance and tax. The assets that come from the State¡¯s appropriation or social subsidies and donations shall be subject to supervision by the department of audit. In addition, the relevant facts must be announced to the society in a proper way.
Article 33 JPAISTD shall be subject to financial audit by the department of audit, before a functioning term expires or the legal representative is changed.
Article 34 The funds and properties of JPAISTD shall not be seized, diverted for other purposes, or appropriated at will by any units or individuals.
Chapter Six Amendment Procedure of the Statutes
Article 35 The amendment plan for the statutes of the association shall be reported to the members¡¯ congress for discussion after it should be voted and adopted by the council.
Article 36 The amended statues shall be reported to Jiangsu Provincial Science and Technology Association for examination and approval within 15 days after they should be adopted by the members¡¯ congress, and they shall be valid after the ratification by the Department of Civil Affairs of Jiangsu Province.
Chapter Seven Termination Procedure and Property Allocation after the Termination
Article 37 In case the association has to be cancelled by reason of accomplishing its purpose, disbanding by itself, or separation and integration, the council shall put forward the motion of the termination.
Article 38 The motion of the termination of the association should be voted and adopted by the members¡¯ congress and reported to Jiangsu Provincial Science and Technology Association for examination and approval.
Article 39 The liquidation group must be established to settle claims and debts under the direction of Jiangsu Provincial Science and Technology Association and the relevant departments before the businesses of the association are terminated.
Article 40 The association shall be regards as the work of the termination after canceling registration at the Department of Civil Affairs of Jiangsu Province.
Chapter Eigth Supplementary Provisions
Article 41 The statutes of the association shall be interpreted by the JPAISTD.
Article 42 The statutes of Association has come into force after being passed with a vote at the 3rd Assembly of Member Representatives on December 30, 2010, when the original statutes was invalidated simultaneously.
